TXU, Oncor Owners File for Bankruptcy

Energy Future Holdings filed for Chapter 11 bankruptcy reorganization in a Delaware court on Tuesday after agreeing with key financial stakeholders to keep its power-producing businesses operating in Texas while it reduces roughly $40 billion in debt.

The company owns TXU Energy, a retail electricity provider, and Luminant, the state’s largest power generator, but the bankruptcy is not likely to have a short-term impact on consumers because the distribution and production will continue normally. In the long term, however, analysts and experts have suggested the company’s reliance on coal could diminish as it becomes more costly to meet federal clean air regulations, which could lead to the shutdown of old facilities.

Future Holdings has been struggling to pay the interest and loans taken to acquire TXU Energy in 2007 and the company’s bankruptcy has been expected for months. It had bet on a rise in natural gas prices, helping to repay the debt, but a glut of U.S. shale production has led prices to plummet, hurting Future Holding’s bottomline and its ability to fulfill its debt obligation. Recently, the company skipped a deadline to pay $109 million in interest.

State agencies, including the manager of Texas’ power grid and the Railroad Commission, the agency that awards mining permits, have been closely monitoring the company in recent months as the bankruptcy filing loomed.

The Electric Reliability Council of Texas, or ERCOT, which manages the state’s grid and the flow of power to 23 million customers in Texas, said in a statement Tuesday it is focused on maintaining system reliability and market efficiency as the restructuring moves forward. It said it understands operations will continue as normal and it does not have immediate concerns.

It is our understanding that EFH and its affected subsidiaries expect to continue operating generation assets and serving retail customers in Texas, ERCOT said in its statement, noting that the company’s transmission business, Oncor, is not included in the bankruptcy filing. Therefore, ERCOT sees no immediate concerns related to system reliability or market efficiency associated with this filing.

A Texas’ Public Utility Commission statement said it did not foresee any power generation and distribution issues resulting from the bankruptcy.

The Railroad Commission, meanwhile, announced that once the filing occurred, Luminant Mining Co. the arm that scours the earth to remove the soft, lignite coal used for power generation in several Texas plants, would no longer be allowed to participate in a self-bonding reclamation program. This program allows companies that have $10 million and other assets not to put up cash in advance for required restoration of mined land.

Now, though, Luminant will have to set aside nearly $1 billion to restore land to its original condition.

The era of self-bonding by Luminant Mining appears to be over and rather than the taxpayers of Texas having to rely on a promise and a wink and a nod, there will actually be over $1 billion set aside in the Railroad Commission for restoration, so it’s a good first step, said Al Armendariz, Sierra Club’s Beyond Coal senior campaign representative. You’re already seeing some environmental benefits from the restructuring.

The Railroad Commission did not immediately respond to emails seeking comment. It remains unclear whether the company has already set aside the reclamation funds.

As part of the restructuring, Dallas-based Energy Future Holding said it will separate its Texas Competitive Electric Holdings Co. subsidiary, which includes TXU Energy, and give preferred lenders complete ownership in that reorganized business. It also will give lenders cash proceeds from new debt in exchange for eliminating about $23 billion of Texas Competitive Holdings’ funded debt.

Energy Future will still own Energy Future Intermediate Holding Co. and keep its interest in Oncor Electric Delivery Co. a power transmission business, which is not part of the reorganization.

It said it expects day-to-day operations to continue during the reorganization. That includes provision of power to customers, the payment of wages and benefits, and payments to vendors. Energy Future expects to leave its restructuring in about 11 months.

The holding company was acquired in 2007 by private-equity firms KKR Co. TPG Capital and Goldman Sachs Capital Partners.

    Preliminary Conference

    All orders to show cause containing an application for the issuance of an Order of Protection will be treated as an emergency and emergency procedures must be followed. The court is required to conduct a hearing before issuance of an order of protection, and the applying party and their attorney, if any, must be present.

    Family Protection and Domestic Violence Intervention Act

    In accordance with the Family Protection and Domestic violence intervention Act of 1994, an automated statewide registry will be operative effective October 1, 1995. The legislation requires that the registry contain information involving orders of protection and warrants issued statewide in connection with criminal, Family Court and matrimonial cases involving family violence. Effective October 1, 1995, all requests for an order of protection must be submitted with a completed Family Protection Registry information sheet. These forms are available in the matrimonial office, Room 140 in Jamaica.

    General Information

    Telephone inquiries regarding decisions on motions will no longer be accepted. This information, as in the past, will be published in the New York Law Journal. Counsel may appear personally and obtain the pertinent information required from the computer terminals made available to the public for that purpose.     Future of EHR Trends #future #of #ehr


    EHRs were initially conceived as eco-friendly stand-alone replacements for paper medical records. The digital versions would improve clerical and billing procedures, while reducing the space and waste of their traditional counterparts.

    The emergence of social media and the latest iteration of the Internet have refocused our perspective on EHRs as well, with web-based medical records company Practice Fusion being one of the first companies to take advantage of post-Facebook EHRs. The company has recently unveiled two initiatives with a social media bent.

    Earlier this month, Practice Fusion launched a physician-review portal that allows doctors to decide whether or not to make all of their reviews available online. Patients are now able to browse Practice Fusions network of more than 160,000 doctors and healthcare staff.

    Practice Fusion has also released a HIPAA-compliant secure physician messaging feature within its EHR this month. The feature will allow doctors on the company’s network to collaborate with respect to patient care, referrals, and clinical work while utilizing the data within an EHR.

    “Patient care shouldn’t end in the exam room. Legacy EHR technology has failed to provide a way for medical providers to send secure referrals, much less get a quick curbside consultation on clinical cases,” said Ryan Howard, CEO of Practice Fusion.

    “Our messaging feature makes communication between providers as easy as sending a Facebook message to a friend—and this could mean the difference between life and death for a patient.”

    Other companies are also starting to look at the EHR as a resource for improving care, increasing efficiency, or making a profit. Allscripts has opened up its Helios platform to enable third party software developers “have access to the tools services needed to have a great development experience and an opportunity to co-market their applications directly to Allscripts clients,” according to the company website.

    If developers were to flock to Allscripts with software and mobile apps, the company could be looking at an App Store-style marketplace. The model would join the fledgling application industry that has made Apple and Google millions of dollars. Successful startups and developers would also see a piece of this EHR-based software boom.

    Lyle Berkowitz is someone who already knows what it’s like to leverage the power of an EHR into a successful business. In 2008, Berkowitz was part of a healthcare IT startup that created Healthfinch. The company’s successful RefillWizard application works in conjunction with many popular EHR systems to delegate prescription refills to a practice’s clinical staff.

    On the Healthfinch website, the company makes an effective pitch about the untapped potential and current problems with many of today’s EHR systems.

    “We’ve seen the problems that healthcare software causes. It slows clinicians down. It doesn t have to be this way. Fortunately, the electronic medical record has laid the foundation for building great healthcare applications. It’s time we start realizing this promise. That’s what we do at healthfinch,” the website reads.

    There are many signs that the floodgates of EHR-based software are about to open. One of the first conferences dedicated entirely to healthcare IT startups will be held this June in Philadelphia. The 54-hour event will focus entirely on developing “applications that target concrete problems in healthcare and develop a commercial case around them.”

There are also steps that can be taken from the very beginning of a business transaction to avoid late payment. These include:

    • agreeing to the price at the quoting stage, including any interest or charges for late payment,
    • making sure payment terms are clear, and potentially offering first time or one off clients a shorter payment term,
    • conducting credit checks if necessary,
    • always invoicing on time, and
    • following up invoices with statements.

    To avoid spending valuable time and effort chasing late payments you should consider having collection letter templates ready to use and a timing process for sending each one already in place.

    As well as having a set policy in place it is also important to document everything, for example, when and what letters are sent, or outcomes of any phone conversations with the customer. These may become legal records later if you have to take action with a collection agency or solicitor.

    These letters should range from a friendly reminder to a final notice:

    1st letter short and friendly reminder, can be included on statement page
    2nd letter follow up to reminder, more direct and less cordial than the first
    3rd letter demand payment within 7 days or threaten legal action
    4th letter demand payment and state legal proceedings will be started by a certain date.

    Keep in mind that the goal of these letters should be to retain customer goodwill as well as to encourage prompt payment.

    If you do end up having to send a final notice to a client it is important that you don t make empty threats but be prepared to follow through with collection measures. Often a firm letter on solicitors letterhead will get more immediate results.

    The main problem about space is how much it costs to get there: it’s too expensive! And that’s mainly because launch vehicles are expendable – either entirely, like satellite launchers, or partly, like the space shuttle.

    So we need reusable launch vehicles. The trouble is that these will not only reduce the cost of launch – they’ll also put the makers out of business, unless there’s more to launch than just a few satellites a year, as there are today.

    Fortunately there’s a market that will generate far more launch business than satellites ever well – passenger travel. Market Research has shown that the idea of space tourism is very very popular. And so, just like aviation, the launch industry is going to find that most of its business will be carrying passengers.

    But this idea of Space Tourism isn’t at all familiar to most people, including the space industry, who are used to the idea that space is for research or military activities. Few people are aware of how much work has been done to show that tourism is a realistic goal, and how rapidly this work is now progressing .

    Once travel to orbit becomes a commercial service, the question of how to get to space will be mainly one of saving up for a ticket – or looking for work in one of the many space hotels that will be built. Space offers unique pleasures including the view, and zero gravity activities that provide a whole range of things to do on an orbital holiday – including space sports .

    Importantly, and contrary to what many people assume, the space agencies are not at all interested in space tourism, and are not trying to bring it about. This is a pity because space activities will never be profitable until tourism services begin, remaining small-scale, expensive, and dependent on taxes which come from you – which would you prefer?
