Asset sales plan secures EU backing for $130 billion Dow, DuPont merger

(Reuters) – Dow Chemical and DuPont won the blessing of the European Union for their $130 billion merger on Monday by agreeing to sell substantial assets including key research and development activities.

The European Commission had been concerned that the merger of two of the biggest and oldest U.S. chemical producers would leave few incentives to produce new herbicides and pesticides in the future. The deal is one of a trio of mega mergers that will reshape the industry and consolidate six companies into three.

Asset sales would ensure competition in the sector and benefit European farmers and consumers, the Commission said.

“We need effective competition in this sector so companies are pushed to develop products that are ever safer for people and better for the environment,” European Competition Commissioner Margrethe Vestager said in a statement.

“Our decision today ensures that the merger between Dow and DuPont does not reduce price competition for existing pesticides or innovation for safer and better products in the future.”

The two other big deals in the industry are ChemChina’s [CNNCC.UL] $43 billion bid for Syngenta and Bayer’s acquisition of Monsanto.

Dow and DuPont said they were still on target for $3 billion in cost synergies and $1 billion in growth benefits.

The deal is still to be approved by regulators in the United States, Brazil, China, Australia and Canada, but the companies said they were confident of clearance in all remaining jurisdictions.

“This regulatory milestone is a significant step toward closing the merger transaction, with the intention to subsequently spin into three independent publicly traded companies,” Dow spokeswoman Rachelle Schikorra said in an email.

The EU approval may be a sign that U.S. regulators would follow suit because the agencies have traditionally coordinated on reviews and remedies for large multinational mergers, said Diana Moss, president of the American Antitrust Institute non-profit group.

However, any required asset sales would likely reflect antitrust concerns in the local marketplace.

“In the U.S. there are very high shares in corn and soybean seeds. We would expect those problems to be significant enough for enforcers in the U.S. to remedy them,” Moss said.

The 1,000-page decision underlined the significance of the merger. In return for the EU green light, DuPont will divest large parts of its global pesticides business, including its global research and development organization.

The unit makes herbicides for cereals, oilseed rape, sunflower, rice and pasture and insecticides for insect control for fruits and vegetables.

Dow, in turn, will sell two acid co-polymer manufacturing facilities in Spain and the United States, as well as a contract with a third party through which it buys ionomers. The company has already found a buyer in South Korea’s SK Innovation.

“The main surprises here are the inclusion of the pesticides and the exclusion of any kind of seed assets,” Bernstein analysts wrote in a note. The analysts also said they had expected EU to be concerned about the concentration of seed sales, and that they would require Dow to divest its corn seeds business.

Farm Business Management Education Programs

Minnesota State Colleges and Universities farm business management education programs are administered through eight college campuses at 46 different sites across the state. There are a total of 62 farm business management instructors.

Farm business management programs are designed to provide education to farm owners and operators or persons interested in farming. The purpose of the program is to assist students in meeting their business and personal goals. This is best accomplished through the use of quality records and sound business decisions. Effective financial management in the business is the best way for the business to maintain that competitive edge.

Instructors in Minnesota s farm business management education programs deliver the program using a variety of methods. The primary delivery method is through individualized instruction at the student s farming business. Instructors meet with the students on a regular basis to evaluate the business and develop individual educational plans. Instruction is also delivered in the traditional classroom, small group meetings, field trips and tours.

Employment as a Health Care Administrator is expected to grow faster than average with the fastest growth in home health agencies, residential care facilities and practitioners’ offices and clinics.

Our college healthcare administration degree program has been designed in two formats, one for Michigan college students who enter the healthcare administration degree program either as college freshmen or students that transfer into the health care administration degree program after having completed an Associate degree and the second for health care; students who wish to complete a bachelors degree in health care administration while enrolled in a health care Associate degree program.

Advance Your Career with a Healthcare Administration Degree

Students that major in healthcare administration are required to take college courses in health care management, marketing, accounting, quality assurance, health care finance, health care planning and long-term care management that prepares them to work in many areas of the health care industry. Graduates of the Healthcare administration degree program, are able to enter graduate school to earn a masters degree in health care administration.

Our college Health Care Administration program also is offered in Grand Rapids, Michigan. In the Grand Rapids Michigan health care administration degree program, the college health care administration courses are offered in the evenings. General college education requirements may be taken at a local Michigan college or university and transferred to fulfill the Ferris State health care degree requirements. A minimum of 30 semester credit hours must be earned at Ferris State in order for the college health care systems administration degree to be granted.

The term “health services manager” encompasses health care professionals in many different positions who plan, organize, coordinate, and supervise the delivery of health care. Health services managers include both generalists (health care administrators who manage or help to manage an entire facility or system), and health specialists (health care managers in charge of specific departments or services found only in the health care industry).

Earnings of health services managers vary by type and size of facility, level of responsibility and geographic region. The median salary for college graduates with a bachelors degree in healthcare administration in small group practices with fewer than seven physicians is about $55,000 and, for those in larger group practices with more than seven physicians, about $77,000. Heads of clinical departments salaries average between $54,500 for respiratory care to $70,400 for rehabilitation services. Nursing home administrators have an annual median salary of $49,500.

The Health Care Systems Administration degree program at Ferris State leads to a bachelor of science degree. Graduation from the health care administration major, requires a minimum 2.0 GPA overall. The group presentation, by one of our admissions recruiters, includes information on academic offerings, scholarships, housing, student life, and costs. A question and answer period follows the presentation and includes a few surprises! Lunch is provided at one of our well known dining facilities on campus. How to Drive Across the USA Hitting All the Major Landmarks.

what “major landmarks” many of the pins are supposed to represent, and how one could see “all the major landmarks” in the U.S. on a route that skips the entirety of New England and much of the interior of the country.

In fact, this map has nothing to do with being a guide for a sight-seeing trip to American landmarks. Rather, it traces the route taken by photographer Brian DeFrees in 2011 as he drove 12,225 miles around the U.S. crossing some 33 states in 53 days while snapping a photograph every five seconds with a camera mounted just below his car’s rear-view mirror.

As Brian noted in his trip summary. his goal was to travel to as many states as he could while visiting friends and family members, not just to hit “all the major landmarks” in the U.S.

Even though I had taken some fairly large road trips before 2011, this is the one I had dreamt about my whole life. In August of 2011 I quit my job of three years, ended the lease on my apartment and set off on the road by myself. My goal was to see as many states, friends and family members as I could. All while making the first USA Cross-Country Drivelapse video.

After the conclusion of his trip, Brian compiled about 6,500 of the 200,000 individual photographs he took during his journey into a five-minute “Drivelapse ” video tour of America. After it was released on YouTube in November 2011, the video quickly spread across the Internet and around the world:

If you’re heading to the Northeast for Thanksgiving, you might want to get an early start.

A nor’easter is expected to pour heavy rain or snow on that part of the United States late Tuesday and cause problems on Wednesday, traditionally the busiest travel day of the year, CNN meteorologists say.

“All of the major metro areas in the Northeast will be impacted by either heavy rain or heavy snow, along with high winds,” said CNN senior meteorologist Dave Hennen.

He said it’s too early to predict which metro areas will be hit hardest, but airport delays are predicted Wednesday in New York City, Philadelphia, Boston and Washington, D.C.

“The I-95 corridor may end up being the dividing line between heavy snow and heavy rain,” Hennen said. “Either way travel in the Northeast will become dangerous, especially interior sections of the Northeast with heavy snow.”
